Frank Wan’s main practice areas are finance & securities, and financial technology business. Representative cases include the management and investment of non-performing assets, insurance asset management plan, trust plan,  consumer finance companies, finance companies, financial leasing companies, commercial factoring companies and micro-loan companies, asset securitization, standardized bills and supply chain finance platform establishment, acquisition and compliance. He has participated in a number of projects of supply chain finance program using laws and regulations concerning digital certificate, electronic deposit certificate, blockchain, big data and network security. He has a lot of experience in e-commerce, transportation and logistics, aviation tourism, K12, medicine, environmental health and other areas, and is committed to serving customers with the comprehensive use of legal means, industrial knowledge and technological capabilities, etc.

Provided legal service of transaction structure design, due diligence, text review and drafting, legal advice and other services for the plan of credit asset-backed securitization of lease payments receivables of Shanxi Securities as the sponsor’s legal consultant.

Provided legal services of transaction process demonstration, revising legal text, legal advice and other services for “China Universal Asset Management-Shanghai electric Group” accounts receivables asset-backed securitization plan (the first Shanghai State-owned shelf offering supply chain assets securitization product, with the fund scale of 10 billion RMB, and an initial issued funds of 800 million RMB) as legal consultant.

Provided legal services of transaction process demonstration, legal text revising, legal advice and other services for “2018 first term of Beijing Capital Land supply chain asset-backed securitization” as legal consultant.

 

Financial Technology:

Provided legal services of establishing “Yuanhaiyirong” open platform of supply chain financial services, and introduced “micro enterprise chain platform” to a subsidiary company of China COSCO Shipping Corporation Limited.

Provided legal services of establishing supply chain platform of digital credit voucher circulation to a subsidiary company of State Power Investment Corporation Limited in the program.

Provided legal services of development supply chain financial business with the electronic accounts receivable transferring, financing, cashing and clearing function on the “Shuangliantong Platform” to a subsidiary company of Shanghai Industrial Investment (Holding) Co., Ltd.

Provided legal service for an air ticket supply chain financial program based on SAAS international air ticket operation system with Fliggy and air ticket agents to a subsidiary company of Sunshine Insurance Group.

Provided legal services of cooperation with VIPTutor and other online education platforms in the "Fenyun" project, and assisted restructuring the transaction structure and business process and drafting transaction documents to a factoring company.

Provided legal services of drafting transaction documents and other services for the online consumption instalment project cooperated with 360 lending platform and ICBC to a financial technology company of China Continent Insurance Co., Ltd.

Provided legal services of transaction scheme design and drafting transaction documents for a cooperation program with Shandong Expressway, Guizhou Expressway and Beijing Expressway and other ETC card issuing institutions to Zhong An Insurance.

 

Cross-board business:

Provided legal services of due diligence and legal advice under cross-border  laws for Norwegian Offshore Heavy Transport AS merger & acquisition financing project to a bank with its loan business of M&A.

Provided legal services of drafting ISDA contracts, legality and legal risk management for a international financial derivatives trading project in the international market to a bank.

Provided legal services of transaction structure design, business process carding, foreign exchange communication, FCI coordination, overseas investment and financing, transaction text drafting, and legal advice for import, export and offshore factoring project to a factoring company.

 

Civil litigation:

Successfully represented the first e-bank acceptance bill fraud case in China (amount of the subject matter was RMB 2 billion), and provided legal services for the defendant (a city commercial bank)’s lawyer of the foresaid case.

Successfully represented the first appeal case of jurisdiction objection over factoring contract’s jurisdiction clause, which both the seller and the buyer were prosecuted in the same case in Shanghai.

Successfully applied for compulsory enforcement of notarized creditor’s rights documents to Shanghai Financial court on behalf of a factoring company (amount of the subject matter is RMB 200 million), which was the first case of compulsory enforcement of factoring contract enforced by this notary office in Shanghai Financial court.

Successfully represented a case of dispute over the sale contract which the supplier required a financial leasing company to pay the purchase price of the leased property.

On behalf of a number of financial institutions, participated in debt overdue programs related to Huishan Dairy, Kaidi Ecology, Youfu., Longli Bio, watma, Minxing Pharmaceutical, Tianye, CEFC China Energy, CITIC Guoan, TEWOO, etc., to provide legal services of dispute resolution, bankruptcy reorganization and other services.

Personal Introduction:
Frank Wan obtained a Bachelor of Law degree and a master degree in Finance. Prior to practicing as a lawyer in 2006, he worked in the ICBCShanghai Branch and is currently a partner of Jinmao Law Firm. Frank Wan is the vice director of the Financial Leasing Business Research Committee of Shanghai Bar Association, a specially appointed expert of the Shanghai Leasing Trade Association, an academic member and a professional lecturer of the Commercial Factoring ExpertiseCommittee of CATIS, the vice president of Shanghai Commercial Factoring Association, the vice president of Shanghai Pudong Commercial Factoring Association, and a professional lecturer of Shenzhen Commercial Factoring Association. He served as the director of the editorial board of the "National First Series of Commercial Factoring Textbooks" specially funded by the Central Finance, led the drafting of the “Group Standard: Commercial Factoring Contract Criteria”, and was awarded the Individual Award for Outstanding Contribution of the fifth anniversary of the Chinese commercial factoring industry (2012-2017). Frank Wan also serves as a consultant expert in civil and administrative litigation supervision cases (financial insurance category) of the Supreme People's Procuratorate, a part-time professor of East China University of Political Science and Law, an arbitrator of Shanghai Arbitration Commission, an arbitrator of Hainan International Arbitration Court and its Factoring Arbitration Center’s vice director as well, and an independent director of China Fortune Securities Co., Ltd. At present, Frank Wan is the legal advisor of Shanghai Municipal Financial Regulatory Bureau, the legal consultant of Pudong District Municipal Commission of Commerce and a member of the Financial Legal Advisory Group of Huangpu District, Shanghai. Frank Wan has participated in the Bar Council China Training Scheme program organized by the British and Wales General Council of the Bar. He has studied anti-money laundering cases at 33 Chancery Lane under Mark Rainsford QC. And he has established close cooperation with lawyers and service institutions in UK, U.S.A, France, Norway, Singapore, British Virgin Islands, Cayman Islands, Taiwan, Hongkong and other countries or regions to provide cross-border collaborative services for customers.
